Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between Geekit Labs LLC ("we", "us") and the practice or organization that subscribes to BeeYou ("Customer", "you"), including every person the Customer authorizes to use it ("Users"). By creating an account, signing an order form, or using BeeYou, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it.

2. The service

BeeYou is cloud-hosted practice-management software for behavioral health practices: scheduling, clinical documentation, follow-ups, billing, client communication, reporting and related features, including AI-assisted features such as Bee. Features may be added, changed or retired over time; we will give reasonable notice before removing a feature you rely on.

AI-assisted features produce drafts and suggestions. They do not provide clinical, legal or billing advice, and a qualified person at your practice is responsible for reviewing and accepting anything before it is used for care, documentation, billing or communication.

3. Accounts and security

• You are responsible for who you invite, the roles you assign them, and removing access when someone leaves.
• Users must keep sign-in codes, PINs and trusted devices secure and must not share accounts.
• Tell us promptly if you suspect unauthorized access to your account.
• You are responsible for the accuracy of the information you and your Users enter.

4. Your data

You own the data you and your Users put into BeeYou ("Customer Data"). You grant us a limited right to host, process, transmit and display Customer Data only to provide, secure, support and improve the service, and as required by law. We do not sell Customer Data.

You may export Customer Data while your subscription is active and for 30 days after it ends. After that we may delete it, except where retention is required by law or by your configured retention settings. Our handling of personal information is described in our Privacy Policy.

6. Acceptable use

You and your Users will not:

• Use the service in violation of law, including health-privacy, telemarketing and anti-spam laws
• Send messages to people who have not consented to receive them, or ignore STOP requests
• Attempt to access another customer’s data, probe or disrupt the service, or bypass its security
• Reverse engineer the service except where the law expressly allows it
• Resell or provide the service to third parties without our written permission

7. Fees and payment

Fees, billing cycles and any usage-based charges (for example, messaging or telephony) are set out in your order form or plan. Fees are due as stated there and are non-refundable except where these Terms or the law say otherwise. We may suspend the service for invoices more than 30 days past due after giving you notice. Prices may change at renewal with at least 30 days' notice.

8. Term and termination

These Terms last as long as your subscription. Either party may terminate for material breach that is not cured within 30 days of written notice. You may cancel at the end of any billing cycle. We may suspend access immediately if necessary to protect the service, other customers or PHI, and will tell you why. Sections that by their nature should survive termination (including data export, fees owed, disclaimers and limitation of liability) survive.

9. Disclaimers

Except as expressly stated in these Terms or the BAA, the service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, that AI-generated content will be accurate or complete, or that claims will be paid by any payer. BeeYou is not a substitute for professional clinical judgment and is not intended for emergency or crisis response.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits or revenue. Each party's total liability arising out of these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, to a party's indemnity obligations, or to liability that cannot be limited by law.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The state and federal courts located in Tarrant County, Texas have exclusive jurisdiction, and both parties consent to venue there.

12. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, notify practice administrators by email at least 30 days before the change takes effect. Continued use after that date means you accept the updated Terms.
